Terms of Service

General legal terms and conditions governing the use of Homura Network services, accounts, billing, and dispute resolution.

TERMS OF SERVICE

1. Introduction and Acceptance

  • For the purposes of these Terms, "Homura Network", "we", "us", and "our" refer to the Homura Network contracting entity applicable to your service, as identified on the relevant invoice, order page, service schedule, or written agreement. Where no other entity is expressly identified, the contracting entity is Homura Network Limited (a company incorporated in Hong Kong, BRN: 75553711).
  • "You", "your", and "customer" refer to the individual or legal entity that creates the account, purchases the service, or otherwise enters into an agreement with Homura Network. If you use or purchase our services on behalf of an organisation or other legal entity, you represent that you have authority to bind that entity to these Terms.
  • Thank you for choosing Homura Network. By accessing, purchasing, paying for, or continuing to use our services, you agree to be bound by these Terms of Service ("TOS") and all other applicable terms and policies.
  • We reserve the right to alter, modify, or update these Terms, referenced policies, fees, and guidelines at our discretion.
  • Changes to these Terms will be reflected on the applicable policy page with an updated modification date. Your continued use of the affected services after an update constitutes acceptance of the revised terms.
  • If you do not agree with these Terms, you should discontinue use of our services.
  • To report violations of these Terms or abuse involving our services, contact abuse@homura.network.
  • These Terms provide the general contractual framework applicable to services provided by Homura Network.
  • Depending on the service purchased, additional policies, purchase-page conditions, service schedules, technical restrictions, or other product-specific terms may apply.
  • The Compute & Hosting Services Policy, the Software & Solutions Policy, the eSIM.day Terms of Service, and other product-specific policies apply only to services within their stated scopes or services that expressly incorporate those policies.
  • Unless otherwise explicitly mentioned, all applicable policies and product terms form part of the agreement between the customer and Homura Network.
  • In the event of a direct conflict, the following order of precedence applies:
    1. Any individually executed written agreement or service schedule;
    2. Specific terms stated on the applicable purchase or order page;
    3. Product- or service-specific policies applicable to the service; and
    4. These general Terms of Service.
  • A more specific provision overrides a more general provision only to the extent of the direct conflict. All other provisions remain effective.

3. Account Registration and Security

  • Upon registration, you must provide a valid primary email address and establish secure login credentials.
  • Your registered primary email address is the principal identifier of your account and our primary channel for official communications, notices, support, and billing alerts.
  • You are responsible for maintaining the confidentiality and security of your account credentials.
  • You are responsible for actions and requests made through your authenticated account, including those resulting from unauthorized access, except to the extent otherwise required by applicable law.
  • You must notify us as soon as possible if you become aware of unauthorized account access or another security breach.
  • Please ensure that messages originating from homura.network are not blocked or automatically routed to spam.
  • We attempt to identify account holders as natural persons and/or juridical persons. Accounts owned, operated, or controlled by the same entity may be treated as the same customer for operational, promotional, fraud, abuse, and service limitation purposes.

4. Payment, Invoicing, and Anti-Fraud

  • You must provide accurate and reasonably verifiable billing and contact information. Fraudulent or deliberately inaccurate information may result in order rejection, service suspension, or account termination.
  • We may use third-party and automated fraud-prevention systems, including FraudLabs Pro and payment-gateway risk systems.
  • Where a transaction is flagged as potentially fraudulent, we may request additional information or verification before accepting the order or activating the service.
  • The final amount payable is the amount stated on the invoice generated during checkout. Amounts displayed in a shopping cart before invoice generation are for preview purposes only.
  • We reserve the right to adjust prices applicable to service renewals. The applicable renewal price will be reflected on the corresponding invoice or purchase interface.
  • Customers are responsible for monitoring invoices and renewing services before expiration.

5. Support

  • Unless otherwise explicitly stated on the applicable purchase page, service schedule, or specific agreement, technical support does not include the installation, configuration, troubleshooting, or maintenance of customer operating systems, third-party software, applications, code, configurations, or other customer-managed environments.
  • We aim to review and respond to support tickets within three (3) business days. Unless expressly provided as part of an SLA, this is a target and not a guaranteed response time.
  • Please select the appropriate support department when submitting a ticket.
  • Support is primarily available in English, Simplified Chinese, and Traditional Chinese. Limited support may also be available in Korean and Japanese.
  • Abusive, harassing, or threatening language, advertising, helpdesk spam, or repeatedly opening duplicate tickets for the same issue may result in ticket closure, support restrictions, service suspension, or account suspension.

6. Account Information and Service Transfers

  • The account's primary email address is the principal identifier of the account.
  • Requests to modify account information or the primary email address may require identity and payment verification. We reserve the right to reject an account modification where verification cannot be satisfactorily completed.
  • Service transfers between customer accounts, where supported, are governed by the specific terms, procedures, and conditions applicable to the relevant service (such as the Compute & Hosting Services Policy).

7. Account and Data Management

  • Customers are responsible for monitoring their account, invoices, service expiration dates, and renewal requirements.
  • If a service expires or is cancelled, access to the service may be suspended immediately and associated data may be lost.
  • Homura Network may erase data associated with an expired, cancelled, or terminated service without further notice.
  • Unless otherwise explicitly mentioned, Homura Network has no obligation to retain customer data following expiration, cancellation, or termination of a service.
  • Customers are responsible for maintaining appropriate independent backups of important data.

8. Refunds and Payment Disputes

  • Refund eligibility, applicable refund periods, exclusions, and product-specific conditions are determined by the terms applicable to the relevant service.
  • Unless otherwise explicitly mentioned, no refund right should be assumed solely from the existence of this TOS.
  • Approved Refunds:
    • Where a refund is approved under the applicable product terms, the customer may, where supported, choose between:
      1. a refund to the original payment method; or
      2. a refund to the customer's Homura Network account balance.
    • Refunds returned to the original payment method will be reduced by payment processing fees, gateway fees, currency-conversion charges, network fees, or other transaction charges that were incurred or retained by the applicable payment provider and are not refunded to Homura Network.
    • Where an approved refund is issued entirely to Homura Network account balance, the approved refund amount will normally be credited without deduction of payment gateway fees.
    • Certain payment methods may not support direct refunds or may impose additional restrictions. In such circumstances, Homura Network may issue the refund through account balance or another available method.
    • The foregoing is subject to any mandatory refund rights or restrictions imposed by applicable law.
  • Payment Disputes and Chargebacks:
    • Customers should first contact Homura Network through the support ticket system regarding billing concerns, disputed charges, or refund requests.
    • A payment dispute, claim, or chargeback initiated through a payment gateway without prior communication with us will not qualify as a refund request under our normal refund policy.
    • In such circumstances, we reserve the right to suspend or terminate all services associated with the affected account and restrict access to the account while the matter is investigated or resolved.
    • Any chargeback fee, dispute fee, administrative fee, or other cost imposed on Homura Network by a payment processor as a result of the customer's payment dispute may be charged to the customer.
    • Fraudulent, abusive, or repeated payment disputes may result in permanent account termination.
    • Suspension or termination resulting from a payment dispute does not relieve the customer of responsibility for valid outstanding charges.

9. Disclaimer and Limitation of Liability

  • Homura Network does not verify or warrant that customers possess all licenses, registrations, approvals, or statutory authorisations required for their particular activities. Customers are solely responsible for ensuring that their activities comply with applicable requirements.
  • Customers are responsible for securing their own systems and maintaining appropriate backups.
  • While we aim to provide reliable services, we cannot guarantee against hardware failures, software failures, network failures, third-party outages, security incidents, or other unforeseen events.
  • Homura Network is not responsible for data loss resulting from hardware malfunction, customer configuration, customer software, security compromise, or other circumstances outside our reasonable control.
  • Where data loss arises directly from an error attributable to Homura Network, we may provide reasonable technical assistance in attempting recovery, but successful or complete recovery is not guaranteed.
  • Homura Network is not liable for service inaccessibility or loss caused by events outside our reasonable control, including natural disasters, societal events, governmental actions, major Internet outages, upstream network failures, DDoS attacks, or hacking incidents.
  • To the maximum extent permitted by applicable law, Homura Network and its affiliates shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, business, goodwill, or data.
  • To the maximum extent permitted by applicable law, Homura Network's total cumulative liability arising from a particular service shall not exceed the amount actually paid by the customer for that affected service during the one (1) month immediately preceding the event giving rise to the claim.
  • Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

10. Suspension and Termination

Homura Network may suspend or terminate services, restrict account access, or take other appropriate action where:

  1. the customer violates these Terms, an applicable policy, or product-specific terms;
  2. a credible abuse incident is detected, a credible abuse report is received, or we reasonably believe that continued operation of the service may facilitate ongoing abuse or cause material harm;
  3. the service expires without subsequent payment;
  4. a payment transaction is identified as fraudulent or unauthorized;
  5. a payment is reversed or disputed;
  6. continued operation presents a material threat to our network, other customers, or upstream providers; or
  7. suspension or termination is required by law, a competent authority, a data center, an IP provider, a carrier, or another applicable upstream provider.

Where a customer violates these agreements, Homura Network reserves the right to terminate services, suspend services, delete associated service data, and close or restrict the customer account.

Payments made for services terminated as a result of customer violations will not be refunded, and the customer remains financially responsible for any damages, penalties, processing charges, or fines arising from those violations.

11. Contracting Entity, Governing Law, and Jurisdiction

  • The customer contracts with the Homura Network entity identified on the applicable invoice, order page, service schedule, or written agreement.
  • Where no other entity is explicitly designated, the contracting party is Homura Network Limited (a company incorporated in Hong Kong, Business Registration Number: 75553711).
  • Unless otherwise explicitly mentioned, these Terms and any dispute arising from them shall be governed by the laws of the jurisdiction in which the applicable contracting entity is incorporated, without regard to conflict-of-law principles.
  • Where Homura Network Limited is the contracting entity, the governing law shall be the laws of Hong Kong.
  • The courts of the applicable jurisdiction shall have exclusive jurisdiction, subject to mandatory legal requirements that cannot be excluded.

12. Severability and Resolution

  • If any provision of these Terms is found to be invalid, illegal, or unenforceable, the validity and enforceability of the remaining provisions shall not be affected.
  • For concerns or disputes, customers are encouraged to first contact Homura Network through the support ticket system or at support@homura.network so that the matter may be addressed amicably.

13. Language Discrepancy

  • Translated versions of these Terms may be provided for convenience.
  • In the event of any inconsistency, discrepancy, or conflict between a translated version and the English version, the English version shall prevail.
