Software & Solutions Policy

Terms governing software licensing, SaaS subscriptions, custom development, and technical solution deliveries by Homura Network.

SOFTWARE & SOLUTIONS POLICY

1. Scope and Precedence

This Software & Solutions Policy ("Policy") applies to software licensing, SaaS products, API and AI services, custom engineering, technical support, troubleshooting, deployment, migration, consulting, cloud enablement, partner solutions, and other software or technology services expressly stated to be subject to this Policy.

This Policy supplements the Homura Network Terms of Service and Privacy Policy.

The specific scope, pricing, deliverables, support level, licensing terms, acceptance requirements, intellectual property arrangements, and other conditions of a Service may be stated on the applicable product page, quotation, Statement of Work ("SOW"), service schedule, order, support ticket, or other written agreement.

Certain Services, particularly custom development, managed services, migrations, or other project-based work, may be subject to separate or additional terms. In the event of a direct conflict, the more specific applicable agreement or Service terms prevail to the extent of that conflict.

2. Third-Party Software, SaaS, and Services

Homura Network may distribute, resell, provision, integrate with, or facilitate access to software, SaaS products, cloud platforms, APIs, AI services, and other products supplied by third parties.

Unless otherwise expressly stated, Homura Network is not the developer, publisher, operator, or owner of such third-party products. Your use of a third-party product may also be subject to the applicable provider's licence agreement, acceptable use requirements, technical restrictions, or other terms.

  • Licensing Attributes and Restrictions: Third-party licences or subscriptions may be subject to restrictions relating to users, seats, installations, domains, IP addresses, devices, regions, subscription periods, or other licensed attributes.
  • Administrative Functions: Where supported, Homura Network may provide provisioning, licence reissue, billing, account administration, or reasonable first-line support. Availability of a particular reissue, transfer, reset, migration, or management function depends on the applicable third-party product and is not guaranteed unless expressly stated.

2.1 Third-Party Product Disclaimer

To the maximum extent permitted by applicable law, third-party software, SaaS products, APIs, cloud services, AI models, and other third-party products supplied or made available through Homura Network are provided on an "AS IS" and "AS AVAILABLE" basis.

Homura Network does not independently warrant that a third-party product will be error-free, continuously available, compatible with every environment, secure against every vulnerability, or maintained indefinitely by its provider.

Where a third-party product materially fails to provision correctly because of an issue attributable to Homura Network, we will make reasonable efforts to correct the provisioning issue.

3. Software Licensing and Subscriptions

The applicable product page or order specifies whether a software product is supplied as a recurring subscription, fixed-term licence, perpetual licence, SaaS entitlement, or another licensing model.

  • Ownership: Purchasing a licence does not transfer ownership of the underlying software or intellectual property unless expressly stated otherwise.
  • Subscription Expiration: Recurring products may cease to function, receive updates, or remain accessible when the applicable subscription expires.
  • Non-Refundable Digital Entitlements: Unless otherwise expressly stated or required by applicable law, software licences and SaaS entitlements are non-refundable once the relevant licence, subscription, account, seat, or digital entitlement has been provisioned or issued. The fact that a provisioned licence has not subsequently been installed, activated, or fully used does not by itself create a right to refund.

4. Professional and Technical Services

Homura Network may provide professional and technical Services including software development, integration, troubleshooting, deployment, migration, configuration, system implementation, technical consulting, and related engineering work.

We will perform Services directly carried out by Homura Network with reasonable care and skill appropriate to the nature of the agreed work. The scope of our responsibility is limited to the work expressly included in the applicable Service description, quotation, SOW, ticket, or other agreement.

Unless otherwise expressly agreed, professional Services do not guarantee a particular commercial outcome, business result, performance improvement, uninterrupted operation, or compatibility with every future change to a third-party product or environment.

4.1 Defects and Remediation

If work directly performed by Homura Network materially fails to conform to the agreed scope because of an error in our implementation, configuration, deployment, or custom code, you should notify us within a reasonable period after discovering the issue.

Where the issue can be reasonably reproduced and is attributable to our work, we will make reasonable efforts to correct the affected work without additional charge, subject to any more specific warranty, support, or acceptance terms applicable to the project.

This does not include issues caused by subsequent customer modifications, unsupported environments, compromised systems, inaccurate information provided by the customer, third-party software or API changes, upstream outages, or other circumstances outside the scope of the work performed by Homura Network.

4.2 Troubleshooting and Problem Resolution

Troubleshooting and technical assistance are generally provided on a reasonable-efforts basis unless a specific result or managed-service obligation is expressly agreed.

We may investigate, diagnose, recommend, configure, repair, or otherwise attempt to resolve an identified problem, but the existence of a support or troubleshooting engagement does not guarantee that every problem is technically capable of resolution.

Where investigation determines that additional development, third-party vendor involvement, replacement infrastructure, licence purchases, or work outside the agreed scope is required, additional fees or a separate Service agreement may apply.

4.3 Deployment and Migration

Deployment, migration, upgrade, and configuration work may involve changes to live systems and may depend on customer infrastructure, third-party software, network services, and other external systems.

  • Data Backup Responsibility: Unless backup responsibility is expressly included in the applicable Service, the customer is responsible for maintaining an appropriate and recoverable backup before authorising material work on an existing system.
  • Migration Risks: Homura Network will take reasonable care when performing agreed deployment or migration work but does not guarantee that all third-party systems, data formats, legacy applications, or unsupported configurations can be migrated without modification, downtime, or compatibility issues.

5. Custom Development

Custom software development is governed primarily by the applicable quotation, SOW, project specification, or other written project terms.

Those terms may define matters including project scope, milestones, delivery, acceptance, payment schedule, source-code delivery, intellectual property ownership, warranty, maintenance, and change requests.

Functionality or work outside the agreed project scope is not automatically included and may require a revised quotation or additional fee. Unless otherwise expressly agreed, ongoing maintenance, future feature development, compatibility with later third-party changes, and continuing operational support are separate Services.

6. API, AI, Cloud, and Integrated Services

Certain Homura Network Services may rely on third-party APIs, AI models, cloud platforms, infrastructure, payment systems, communications providers, or other external services.

  • Upstream Changes: Availability, functionality, pricing, rate limits, model availability, APIs, technical requirements, or other characteristics of those third-party dependencies may change from time to time. Where reasonably necessary, Homura Network may modify routing, integrations, or underlying providers in order to maintain or improve the Service, provided that the material nature of the purchased Service is not fundamentally changed.
  • Usage-Based Metering: Usage-based Services may be billed according to measured requests, tokens, compute, storage, network usage, API consumption, or other units stated for the applicable Service.
  • Customer Responsibility for Usage & Credentials: The customer is responsible for billable usage generated through credentials, accounts, applications, or resources under the customer's control, including usage resulting from compromised customer-controlled credentials, subject to any adjustment expressly approved by Homura Network or an applicable provider.
  • AI Output Disclaimer: AI-generated outputs may be inaccurate, incomplete, inconsistent, or unsuitable for a particular purpose. Customers are responsible for reviewing outputs before relying on them for material decisions or automated actions.

7. Intellectual Property

Third-party software, SaaS products, APIs, AI models, documentation, trademarks, and other third-party materials remain subject to the rights and licences of their respective owners.

Ownership and licensing of custom development deliverables are determined by the applicable project agreement:

  • Background IP: Unless otherwise expressly agreed, Homura Network retains ownership of its pre-existing frameworks, reusable libraries, generic modules, development tools, templates, methodologies, know-how, and other materials not created exclusively for the customer ("Background IP").
  • Grant of Rights: Where Background IP is incorporated into a customer deliverable, the customer receives the rights reasonably necessary to use the completed deliverable in accordance with the applicable project terms.
  • Payment Precondition: Any transfer or grant of rights in custom deliverables is subject to full payment of the applicable fees unless otherwise expressly agreed.

8. Customer Responsibilities

The customer must provide accurate requirements and reasonable cooperation necessary for Homura Network to provide the Service.

  • Timely Access & Information: Where relevant, this may include timely access to systems, credentials, APIs, documentation, test environments, approvals, or other information reasonably required to perform the agreed work.
  • Security Management: The customer is responsible for maintaining reasonable security over systems, credentials, API keys, source repositories, administrator accounts, and infrastructure under its control.
  • Rights & Authority: The customer must have the necessary rights and authority to provide any software, data, credentials, content, systems, or other materials supplied to Homura Network for use in performing a Service.

9. Fees, Cancellation, and Refunds

Pricing may be based on subscriptions, one-time licences, usage, fixed project fees, deposits, milestones, hourly work, retainers, or another billing model stated for the applicable Service.

  • Non-Refundable Commitments: Usage already incurred, software or digital entitlements already provisioned, third-party costs already committed, and professional work already performed are generally non-refundable unless otherwise expressly agreed or required by applicable law.
  • Project Milestones: Project-specific deposits, milestones, cancellation arrangements, and refund conditions may be stated in the applicable quotation, SOW, or separate terms.
  • General Applicability: The general Homura Network refund provisions apply except where a more specific provision governing the relevant Service applies.

10. Support and Boundaries

The support included with a Service is determined by the applicable product page, quotation, SOW, or service schedule.

  • Third-Party Products: For third-party software or SaaS products, Homura Network may provide billing, provisioning, licensing, account, and reasonable first-line support. Matters involving the third-party product itself may need to be referred to the applicable vendor.
  • Professional Services: For professional Services, support is limited to the agreed scope unless ongoing maintenance, managed support, or another continuing Service is expressly included. The fact that Homura Network configured, deployed, migrated, or integrated a system does not by itself mean that the system is provided as a managed service.
  • No Implied SLA: Unless otherwise expressly stated, support is provided on a reasonable-efforts basis and no specific response or resolution time constitutes an SLA.

11. Liability and Disclaimers

For third-party products, the disclaimers in Section 2 apply.

For professional Services performed directly by Homura Network, our responsibility is to provide the agreed work with reasonable care and skill and, where applicable, to reasonably remedy material defects attributable to our work in accordance with Section 4 and any applicable project-specific terms.

To the maximum extent permitted by applicable law, Homura Network shall not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages.

Unless another liability limit is expressly agreed, Homura Network's aggregate liability arising from a particular Service shall not exceed the amount actually paid by the customer for the specific affected Service, licence, subscription period, project, or work giving rise to the claim.

Nothing in this Policy excludes or limits liability or statutory rights that cannot lawfully be excluded or limited.

This Policy may be made available in translated versions for convenience. In the event of any material inconsistency between a translated version and the English version, the English version shall prevail to the maximum extent permitted by applicable law.
